Terms of Service
The short version. SheetLens is a web tool that parses Excel files in your browser and shows you a dependency graph and audit panel. You agree to use it for lawful purposes, not to abuse the service, and to pay the published price for any paid tier. The audit panel is informational and is not a substitute for professional accounting, audit, or financial advice. Refunds are governed by our Refund Policy. We provide the service “as is” and our liability is capped at the amount you paid us in the prior 12 months.
1. Who these terms are between
These Terms of Service (“Terms”) are an agreement between you (“you”, “your”) and [OPERATOR LEGAL NAME], the operator of SheetLens (“SheetLens”, “we”, “us”). By accessing or using the SheetLens product or the sheetlens.app website (together, the “Service”), you accept these Terms. If you do not accept them, do not use the Service.
2. The Service
SheetLens lets you open an .xlsx file in your browser and view a cross-tab dependency graph plus a set of automatic audit checks (volatile functions, hardcoded numbers, error cells, circular references, external links, inputs, outputs, named ranges). The file is parsed entirely on your device; please see our Privacy Policy for the data flow.
The Service is offered in three tiers: a free tier with monthly file and sheet limits, a Pay-per-file tier ($4.99 per file) that grants watermark-free access to a single file for 30 days, and a Pro subscription ($9 per month) that grants unlimited files plus the optional AI Explainer feature.
3. Eligibility and account
- You must be at least 16 years old to use the Service.
- You may use the free tier without creating an account.
- For paid tiers, you must create an account using a valid email address and keep your sign-in credentials secure. You are responsible for activity that occurs under your account.
- You may not use the Service if you are subject to economic or trade sanctions that would prohibit our doing business with you.
4. Your content, our software
You own your files. The Excel workbooks you open with SheetLens are entirely yours. We never receive their contents (see the Privacy Policy) and we acquire no right of ownership, distribution, or republication over them. The narrow exception is the single formula string you transmit when you actively click the AI Explainer button on a Pro account; that transmission is solely to compute the requested explanation and return it to you.
We own the software. The SheetLens code, design, documentation, brand, and trademarks belong to us (or our licensors). Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. You may not (a) reverse engineer, decompile, or attempt to derive the source of the Service except to the extent applicable law allows; (b) resell the Service or expose it as a downstream API; (c) circumvent rate limits, plan caps, or watermarks; or (d) use the Service to build a directly competing product.
5. Acceptable use
You agree not to:
- Use the Service to process content you do not have the legal right to access.
- Attempt to extract, scrape, or copy non-public portions of the Service.
- Probe, scan, or test the security of the Service except as part of a coordinated disclosure to security@sheetlens.app.
- Use the Service to generate spam, harassment, or other unlawful content, including via the AI Explainer.
- Submit data to the AI Explainer that you do not have authorization to share with us and with Anthropic.
6. Payment and subscription
Payments are processed by Lemon Squeezy (Sandcat Group), which acts as our Merchant of Record. Lemon Squeezy collects payment, calculates and remits applicable taxes, and issues invoices. Your contractual relationship for payment is with Lemon Squeezy in addition to us.
Pro subscription
- $9 per month, billed in advance.
- Renews automatically each month until you cancel.
- You can cancel anytime from your account; cancellation takes effect at the end of the current billing period.
- We may change the published price of new subscriptions at any time. For an existing subscription, we will give you at least 30 days’ notice before a price change takes effect, and you may cancel before it does.
Pay-per-file
- $4.99 per file, charged once at purchase.
- Grants watermark-free access to a single file (identified by its content hash) for 30 days from purchase.
- Does not renew automatically.
Free tier
- Limited to 3 files per month, up to 5 sheets per file, with a watermark on exports. Free access does not include the AI Explainer.
7. Refunds
Refunds are governed by our Refund Policy, which is part of these Terms.
8. The audit panel is not professional advice
SheetLens reports mechanical facts about the formulas in your workbook: which cells reference which others, which functions appear, which literals are embedded, and so on. The audit panel uses rule-based heuristics and may produce false positives (flagging cells that are intentional and correct) and false negatives (failing to flag cells that have other problems).
Nothing the Service outputs is a substitute for professional accounting, financial, legal, tax, or regulatory advice. You are responsible for the decisions you make based on the output.
9. Service availability
We provide the Service on commercially reasonable, best-effort terms. We do not commit to a specific uptime, response time, or availability SLA at the published price tiers. We may perform maintenance and ship updates at any time, with or without notice.
10. Third-party services
The Service relies on third-party providers (listed in our Privacy Policy). Your use of those providers’ services through SheetLens is governed by their own terms in addition to ours.
11. Trademarks
SheetLens and the SheetLens logo are trademarks of [OPERATOR LEGAL NAME]. All other product, company, and service names referenced on the Service belong to their respective owners and are used only for identification and fair comparative purposes. References to those products do not imply any affiliation with or endorsement by their owners.
12. Disclaimer of warranties
Except as required by applicable consumer-protection law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted or error-free.
13. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Service, whether in contract, tort, or otherwise, is limited to the greater of (a) the amounts you paid us in the 12 months immediately before the event giving rise to the claim, or (b) US$50. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility.
Some jurisdictions do not allow these limitations; in those, the above limits apply only to the extent permitted.
14. Indemnification
You agree to indemnify and hold us harmless from any third-party claim arising out of (a) your breach of these Terms; (b) your misuse of the Service; or (c) content you submit through the AI Explainer that you did not have the right to share.
15. Termination
You can stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if your account is involved in fraud or abuse, or if continuing to serve you would require us to break the law. We will give you reasonable notice unless doing so would compromise security or violate a legal order.
On termination, the parts of these Terms that are meant to survive (ownership, disclaimers, liability cap, governing law) continue to apply.
16. Governing law and dispute resolution
These Terms are governed by the laws of [OPERATOR JURISDICTION], without regard to its conflict-of-law principles. The courts located in [OPERATOR JURISDICTION] have exclusive jurisdiction over disputes arising out of or related to these Terms or the Service, subject to any non-waivable rights you have under your local consumer-protection law.
Before filing a formal claim, please email legal@sheetlens.app with the details so we can try to resolve the issue informally.
17. Changes to these Terms
We may update these Terms from time to time. We will update the effective date at the top of this page. For material changes affecting paid accounts, we will email you at least 30 days before the new Terms take effect. Your continued use after the new Terms take effect means you accept them; if you do not, you should stop using the Service and may request a pro-rated refund for any unused portion of a Pro subscription.
18. Miscellaneous
- Entire agreement. These Terms (together with the Privacy Policy and Refund Policy) are the entire agreement between you and us about the Service.
- Severability. If any provision is held unenforceable, the rest remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of substantially all our assets.
